Welcome to AdminNow, a platform connecting customers with independent contractors for real-time IT support. By accessing or using AdminNow's services, you agree to comply with and be bound by these Terms of Service ("Terms"). Please read them carefully.

General Terms

These General Terms apply to all users of AdminNow, including both customers and contractors.

1. Introduction

AdminNow ("AdminNow", "we", "us", or "our") provides a platform that facilitates connections between customers seeking IT support and independent contractors offering those services. AdminNow is a facilitator and not the direct provider of IT support services. These Terms govern the use of our website and services for both customers and contractors.

2. Acceptance of Terms

By accessing or using AdminNow, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the services.

You must be at least 18 years old to use AdminNow. By using the platform, you confirm that you meet this age requirement.

3. Account Creation and Security

To use AdminNow, you must create an account. You agree to provide accurate and complete information and to keep your account credentials confidential. You are responsible for all activities under your account. If you suspect unauthorized use of your account, please contact us immediately.

4. Limitation of Liability

AdminNow is not liable for any indirect, incidental, or consequential damages arising from your use of the platform or services provided by contractors. AdminNow’s total liability for any claim related to the services shall not exceed the amount paid by you to AdminNow in the prior six months.

5. Dispute Resolution

If a dispute arises between you and AdminNow, you agree to attempt to resolve the issue through informal communication. If the dispute cannot be resolved informally, it will be subject to arbitration under the laws of the State of Delaware, unless otherwise required by law.

6. Termination and Suspension

AdminNow reserves the right to suspend or terminate your account at any time, with or without cause, if you violate these Terms or misuse the platform. You may terminate your account at any time by discontinuing use of the services.

7. Intellectual Property

All content, features, and functionality of AdminNow, including trademarks, copyrights, and intellectual property, are the property of AdminNow. You are granted a limited, non-exclusive, non-transferable license to access and use the platform for your personal or business use.

8. Modifications to Terms

AdminNow reserves the right to update or modify these Terms at any time. When significant changes are made, we will notify you by email or through the platform. Continued use of AdminNow after the changes are made constitutes your acceptance of the updated Terms.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes will be resolved in the state or federal courts of Delaware.

These additional Terms apply specifically to customers using AdminNow.

10. Services and Use of the Platform

AdminNow provides real-time IT support through independent contractors. We do not guarantee the quality or timeliness of services provided by contractors, and we are not responsible for any issues that arise from your use of their services.

You agree not to use AdminNow for illegal activities, to harass contractors, or to engage in any actions that could harm our platform or users. Misuse of the platform may result in suspension or termination of your account.

11. Payments and Fees

AdminNow charges for IT support services on a minute-based pricing model. Payment processing is handled by our third-party provider, Stripe. You agree to pay all applicable fees and understand that AdminNow may update its pricing at any time.

Refunds and disputes regarding payment must be addressed within 14 days by contacting AdminNow support. We will resolve disputes on a case-by-case basis, but any unresolved disputes may be subject to arbitration.

12. Rankings and Reviews

After each session, you have the ability to rank and review the contractor. You agree to provide honest and constructive feedback. AdminNow reserves the right to remove or moderate reviews that contain false information, harassment, or inappropriate content.

13. Screen Sharing and Data Privacy

During IT support sessions, you are in full control of what is shared via screen sharing. AdminNow is not responsible for any data shared during these sessions. You agree not to share any sensitive personal information (such as Personally Identifiable Information, financial data, or any data covered under HIPAA) during support sessions. AdminNow and its contractors will not be held liable for any misuse of such data if shared.

14. Non-Solicitation of Contractors

You agree not to engage, hire, or solicit any contractor you have interacted with on the AdminNow platform for independent work outside of the platform for a period of 12 months after your last session with that contractor. This is to ensure all engagements remain within AdminNow’s ecosystem.

These additional Terms apply specifically to contractors using AdminNow.

15. Independent Contractor Status

By using AdminNow, you acknowledge that you are an independent contractor and not an employee of AdminNow. You are responsible for complying with all applicable tax laws and regulations related to your earnings on the platform.

16. Quality of Service

As an independent contractor on AdminNow, you agree to provide high-quality, professional IT support to customers. You must complete sessions within the agreed-upon time and maintain a high standard of communication and technical expertise.

17. Payment Terms

AdminNow will process payments to contractors through Stripe, based on the time spent providing IT support to customers. Contractors are paid weekly after AdminNow has received payment from the customer. Payment disputes must be addressed with AdminNow support within 14 days.

18. Rankings and Reviews

Customers have the right to rank and review your services after each session. You agree to accept and acknowledge that AdminNow is not responsible for the content of customer reviews, provided they do not violate our policies. AdminNow reserves the right to moderate reviews that contain false information or harassment.

19. Non-Solicitation of Customers

You agree not to solicit, hire, or engage customers for independent work outside of AdminNow. All interactions and transactions with customers must take place on the platform.

20. Screen Sharing and Data Privacy

During IT support sessions, you are responsible for ensuring that you do not request or access sensitive personal information from customers, such as Personally Identifiable Information (PII) or data covered by HIPAA. You agree to maintain professional standards and privacy throughout the session.
